Begin the proposalCONFIDENTIAL · CONCEPT v0.1 · PREPARED FOR ESSENCE LEADERSHIP · OCTOBER 2026
ESSENCE Health is a concept lockup pending ESSENCE brand approval.

ESSENCE Health is a concept lockup prepared by IAM for discussion with ESSENCE leadership only. ESSENCE and related marks belong to their owners; no license is granted or implied. Any use requires written approval and a definitive agreement.
SECTION 1 · WHY WE'RE HERE
Before the market and financials, meet the partners: who they are, how they work together, and why ESSENCE would build with them.

WHO WE ARE · THE BRIDGE
I am not a spokesperson. I am the asset.
I am… (IAM) is an intellectual asset management firm managed by Obsidian Capital Partners. We build companies around the one thing that cannot be rented: trusted demand.
ESSENCE leadership sets the mandate. IAM builds the company with the people already at the table, finding where culture is already creating demand and turning it into something ESSENCE can own.
An endorsement monetizes attention once. A membership monetizes trust continuously.
Founder economics
equity, distributions, participation at exit.
Governed identity
nothing carrying the ESSENCE name ships without ESSENCE's sign-off.
Protected scarcity
no posting quota; judgment and signal, not labor.
Professional operation
proven operators, institutional capital, underwritten first.
IAM is the bridge: brand-side judgment on one side, a national medical operator on the other. We connect ESSENCE's audience to OpenLoop's medicine and make sure ESSENCE participates in ownership of the company that results.
Executive Leadership
The team behind talent partnerships, growth, finance, and operations.

WHO WE ARE · THE ENGINE
Clinical infrastructure for consumer health brands.
OpenLoop provides clinical operations for consumer health brands under their own names. They manage clinical operations: clinicians, prescriptions, pharmacy, compliance, patient support, billing, technology. ESSENCE owns the brand. OpenLoop manages clinical care.
Bilingual by design: OpenLoop's network includes Spanish-speaking and bilingual clinicians, so patients can seek care in Spanish or English.

The proposal pairs OpenLoop's clinical infrastructure with the trust ESSENCE has built with its audience. Operating metrics are supplied proposal inputs, subject to confirmation with OpenLoop.
ESSENCE never practices medicine. Clinical decisions stay with licensed professionals and their patients.
OpenLoop has powered brands that had to buy their audience. ESSENCE Health would launch with an audience that has trusted one name since 1970. Final operator selection follows diligence on capabilities, coverage, patient experience, cost, and applicable requirements, and that is a deliverable of the development phase.
THE AUDIENCE · THE GAP ISN'T AWARENESS. IT'S BEING HEARD.
She knows her body. Medicine hasn't always listened.
Black women aren't a niche. They are the women the system measured last, in midlife, in metabolic health, and in reproductive care.
median duration of frequent hot flashes and night sweats for Black women in the SWAN study, vs. 7.4 years across all participants.
estimated share of Black women who develop uterine fibroids by age 50.
Black maternal mortality vs. white women in 2024: 44.8 vs. 14.2 deaths per 100,000 live births.
US women aged 45–64 in 2020, vs. women 46–65 who received a hormone-therapy prescription.

The demand isn't hypothetical. It's unmet, and the women living it already trust ESSENCE.

WHY ESSENCE · TRUST IS THE INFRASTRUCTURE
This only works if the trust already exists. With ESSENCE, it has been compounding since 1970.
Every health brand in this category is trying to buy what ESSENCE already holds: a relationship with Black women that predates the internet, the app store, and the telehealth boom. Health brands spend heavily to rent attention. ESSENCE has spent fifty-six years earning belief. ESSENCE Health doesn't ask her to trust someone new. It brings care to the name she already trusts, with licensed clinicians doing the medicine.
The channels already exist: digital, email, social, content, and live experiences, including a Festival of Culture now in its fourth decade. And because ESSENCE sits inside a broader portfolio, the same model can extend to other audiences, each with its own brand, validation, and business case.
Sundial has done this before: built a category out of community trust, then built it to scale.
SINCE 1970 · FESTIVAL OF CULTURE · 31 YEARS · DIGITAL · EMAIL · SOCIAL · CONTENT · LIVE
“We're not asking ESSENCE to sell health. We're asking ESSENCE to own the part of her life medicine never listened to.”
THE BRAND · ESSENCE HEALTH
concept lockup pending ESSENCE brand approval
Believed.
Here, she doesn't have to be strong. She gets to be heard, believed, and cared for.

Heard
ESSENCE introduces care through clinically reviewed education, in a voice she already trusts.
Believed
Every visit starts with what she says, then what's measured.
Cared for
Licensed clinicians, clear pricing, and follow-up that doesn't disappear.
Say what you feel. Get what you need.
YOUR INFORMATION IS YOURS · CLEAR PRICING · LICENSED CLINICIANS
Real women. Real light. Zero retouching.
THE PARTNERSHIP · ONE FLAGSHIP, A PORTFOLIO BEHIND IT
ESSENCE Health is the first company. It doesn't have to be the last.
The partnership has three opportunities. Each moves on its own merits, with its own validation, business case, and agreements, and none delays the flagship decision.

The Flagship · ESSENCE Health
An ESSENCE-branded health business that starts with one focused offering and expands on evidence: demand, customer experience, and economics.

Brand Ventures
Health businesses for distinct audiences across the portfolio: a Refinery29-connected venture for younger women, and a venture for Hispanic and Latina audiences with the right brand and distribution partner.

The Talent Venture
A joint venture through which ESSENCE and IAM identify, sign, and build health businesses with talent in the ESSENCE network. ESSENCE brings relationships and cultural reach. Talent brings voice and audience. IAM brings venture development and operations.
ESSENCE stops being the name on one health company and becomes the place where health companies for this community get built.
THE PROCESS · DECISION-READY BEFORE ANYTHING LAUNCHES
Built with ESSENCE, not for it
Nothing here is pre-decided. We propose a defined development phase that produces four decision-ready deliverables. Scope, responsibilities, timing, and funding are agreed before it begins.
The Offering
A recommended initial offering and customer proposition, selected on audience evidence, clinical suitability, brand alignment, operator capability, and economics.
The Operator
A clinical-operator recommendation and operating plan, after diligence on capabilities, geographic coverage, patient experience, cost, and applicable requirements.
The Model
A financial model, development budget, and launch capital requirement: pricing, retention, clinical and technology costs, customer acquisition, working capital, operating compensation, and distributions.
The Terms
Proposed venture terms, distribution commitments, and an execution schedule.
Then, the launch decision, made after review of demand evidence, economics, operator readiness, and required agreements and approvals. A 120-day launch plan remains the target, subject to those conditions.
How it earns
Revenue from consultations, memberships, subscriptions, or defined care programs, depending on the offering. The full model is built in Step 3. Operator reference economics for the recommended flagship are in the appendix.
What each party brings
ESSENCE
defined brand rights, audience insight, and an agreed distribution program across digital, email, social, content, and selected live experiences. ESSENCE retains ownership of its brand and oversight of its use.
IAM
venture development and operating support: business model, financial plan, launch strategy, customer experience, operating structure, and coordination of the clinical operator and technology providers.
The clinical operator
clinical infrastructure, licensed-provider access, and clinical oversight.
This is ownership, not a fee. Ownership and economics reflect each party's contribution and are agreed together.
A strategic framework with the appropriate ESSENCE or Sundial entity, and separate agreements for ESSENCE Health, each brand venture, and each talent venture, covering ownership, brand rights, distribution, funding, management, joint approvals, clinical accountability, privacy, and continuity of care.

Fifty-six years of trust, finally built into care.
Next step: a working session to authorize the development phase.
Appendix · Leave-behind detail. Offerings are directional only. The initial offering is selected in the development phase.
These are not the pitch. They are the three candidate categories, each with the clinical guardrails it would launch with.

RECOMMENDED FLAGSHIP
Midlife & Menopause
Where hot flashes, sleep, mood, metabolic risk, and sexual health converge, and where Black women's symptoms run longest. Federal regulators began removing most boxed-warning language from menopausal hormone therapy in November 2025, reopening a conversation a generation of women never got to have.
from $79/mo retail; async primary, quarterly refills (operator reference).
Hormone therapy is individualized: age, history, and timing reviewed by a licensed clinician, with non-hormonal pathways offered.

Metabolic Health & Weight
Blood sugar, blood pressure, cholesterol, and weight treated as one metabolic picture, never as a body to fix.
to be modeled in the development phase.
FDA-approved therapies prescribed by licensed clinicians only; no compounded copies. No before-and-after bodies, no countdown weight-loss claims; metabolic framing in all creative.

Sexual & Reproductive Health
Heavy cycles, fibroid evaluation, contraception, intimacy, and libido: care for conditions too often waited out.
to be modeled in the development phase.
Pregnancy and postpartum warning signs route to in-person or emergency care; telehealth does not replace prenatal care. Services scoped to what is lawful in each launch state. 18+.

Editorial authority × clinical care.
ESSENCE Health remains a concept lockup pending ESSENCE brand approval. The direction carries ESSENCE's editorial confidence into care: warm, direct, never clinical-blue, never trauma-led, never body-shaming.
